1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Redglo Wellness LCTX LLC, operating as REDSOL Wellness Club ("REDSOL," "we," "our," or "us"), concerning your access to and use of our website (redsolwellness.club) and our wellness services at 3311 FM Rd 518 East, Suite 200, League City, TX 77573.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

2. Services Description

REDSOL Wellness Club offers various wellness and therapeutic services, including but not limited to:

• Red Light Therapy (face, flex, pro bed, sauna)
• Infrared treatments and body sculpting
• NAD+ therapy and peptide treatments
• Stem cell therapies
• Weight loss programs
• Body analysis and consultation services

Services are subject to availability and may change without notice. We reserve the right to refuse service to anyone at any time for any lawful reason.

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information during registration
• You will maintain the security of your account credentials
• You will notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

5. Membership Terms

5.1 Founding Membership

Founding members who join before our grand opening on November 22, 2025, may receive special rates and benefits. These terms are subject to the specific membership agreement provided at the time of enrollment.

5.2 Membership Fees

Membership fees are charged according to your selected plan (monthly, quarterly, or annual). All fees are non-refundable unless otherwise stated in your membership agreement. We reserve the right to change membership fees with 30 days' notice.

5.3 Cancellation Policy

You may cancel your membership at any time by providing written notice at least 30 days before your next billing cycle. Cancellations must be submitted via email to support@redsolwellness.club. No refunds will be issued for partial months.

5.4 Suspension and Termination

We reserve the right to suspend or terminate your membership immediately if you violate these Terms, engage in inappropriate behavior, or fail to pay membership fees.

6. User Obligations and Prohibited Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, threaten, or harm other users or staff
• Use our services while under the influence of drugs or alcohol
• Misuse equipment or facilities
• Share your membership with others
• Resell or transfer your membership without authorization
• Interfere with the operation of our services
• Attempt to gain unauthorized access to our systems

7. Intellectual Property Rights

All content on our website and in our facility, including but not limited to text, graphics, logos, images, videos, software, and trademarks, is the property of REDSOL Wellness Club or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works of our content without our express written permission.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REDSOL WELLNESS CLUB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability to you for any claims arising from your use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Indemnification

You agree to indemnify, defend, and hold harmless REDSOL Wellness Club and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Galveston County, Texas.

11.3 Jurisdiction

You agree to submit to the personal jurisdiction of the state and federal courts located in Galveston County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and REDSOL Wellness Club regarding your use of our services.
